Shop & Establishment Registration

01

Overview

Shop & Establishment Registration is a state-level licence issued under the Shops and Establishments Act of the state in which your business operates. The Act regulates the working conditions of commercial establishments, covering matters such as working hours, weekly holidays, leave, wages, and the rights of employees. Every state in India has its own version of the Act, administered by the State Labour Department.

The registration is required by almost every place of work, including shops, retail and wholesale outlets, offices, restaurants, hotels, cafes, theatres, godowns, and other commercial establishments. It applies whether or not the business employs staff, and is typically needed by proprietorships, partnerships, LLPs, and companies.

The certificate gives your business legal recognition and serves as a basic proof of existence. It is commonly required to open a current bank account in the business name, to apply for loans, and to comply with state labour laws. In most states, the application must be filed within 30 days of commencing operations.

02

What is Shop & Establishment

The Shops and Establishments Act is a state-specific law that governs the conduct of commercial establishments and protects the interests of people employed in them. Registration under the Act results in a certificate (sometimes called a Shop Act licence or, in Maharashtra, a Gumasta licence) issued by the State Labour Department.

The Act regulates aspects such as:
  • Opening and closing hours and total working hours
  • Weekly holidays, leave, and overtime
  • Payment of wages and conditions of employment
  • Rules on the employment of women and young persons
  • Health, safety, and cleanliness of the workplace
Because the Act is state-administered, the exact rules, fees, and renewal terms differ from state to state. The registration is a foundational compliance step for most small and medium businesses in India.

Validity & Renewal

Validity and renewal rules depend entirely on the state:
  • Several states (for example Delhi, Maharashtra, and a few others) issue certificates that are valid for the lifetime of the establishment and do not require periodic renewal.
  • Other states issue certificates valid for a fixed period — commonly one to five years — after which the registration must be renewed before it expires.
Where renewal applies, the application should be filed before the expiry date to avoid late fees. Any changes to the establishment — such as a change of address, ownership, business name, or closure of the business — should be intimated to the Labour Department as required under the state rules. Please confirm the validity and renewal cycle applicable in your state, as these vary.

07

Penalties

Operating an establishment without registration, or with an expired certificate, is treated as a contravention of the state's Shops and Establishments Act and can attract penalties. The exact amounts are prescribed by each state and may be revised from time to time.

Consequences of non-compliance can include:
  • Monetary fines, which generally increase for repeat or continuing offences
  • Late fees on delayed renewal, where renewal is applicable
  • In serious or repeated cases, further action as provided under the relevant state Act
To avoid penalties, register within the time allowed after commencing business, renew on time where required, and keep the establishment's details updated with the Labour Department. For the precise penalty amounts, refer to your state's rules and current government norms.
